These Terms of Service ("Terms") govern your access to and use of RegencyCX, an AI-assisted customer intelligence platform operated by e-Regency Advisory LLC. By accessing or using RegencyCX, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of Terms
By creating an account, accessing the RegencyCX platform, or using any RegencyCX features, you ("User", "Customer", "you") agree to these Terms on behalf of yourself and, if applicable, your organization ("Organization"). You represent that you have authority to bind your Organization to these Terms.
2. Description of Service
RegencyCX is a B2B SaaS platform that uses artificial intelligence, machine learning, and data analytics to help customer success and experience teams detect churn risk, monitor account health, generate recommendations, and produce executive reports. The Service is provided on a subscription basis as described on our pricing pages.
3. Artificial Intelligence — Limitations, Disclaimers, and No-Reliance
AI OUTPUT IS FOR INFORMATIONAL AND DECISION-SUPPORT PURPOSES ONLY.
- Not professional advice. RegencyCX AI outputs — including but not limited to health scores, churn predictions, signals, recommendations, executive narratives, and next best actions — do not constitute legal, financial, investment, accounting, employment, or any other form of professional advice. No AI output should be treated as such.
- Human review required. All AI-generated recommendations and signals require human review and validation before any external action is taken. You are solely responsible for decisions made based on or informed by RegencyCX outputs.
- No guarantee of accuracy. AI models may produce inaccurate, incomplete, biased, or out-of-date outputs. We make no warranty that outputs are correct, complete, suitable for any particular purpose, or free from error. Predictions of future events (such as churn likelihood or renewal probability) are probabilistic estimates only — not guarantees.
- Training data limitations. AI models are trained on historical patterns and may not reflect current market conditions, individual account nuances, or recently changed business circumstances.
- No liability for AI errors. e-Regency Advisory LLC shall not be liable for any loss, damage, claim, or expense arising from your reliance on AI-generated outputs, including but not limited to lost revenue, lost customers, business decisions, employment actions, or contract terminations based on RegencyCX signals or recommendations.
- Misinformation risk acknowledgment. You acknowledge that AI systems can produce outputs that appear plausible but are factually incorrect ("hallucinations"). You agree to apply independent judgment and not distribute, act upon, or share AI-generated outputs without appropriate review and verification.
- Explainability. RegencyCX provides evidence and confidence indicators with recommendations to support human-in-the-loop decision making. These are aids, not authoritative determinations.
4. Subscriptions, Billing, and Payments
- Subscriptions are billed in advance on a monthly or annual basis as selected at checkout.
- All fees are in USD and are non-refundable except as required by applicable law or as stated in our refund policy.
- We use Stripe to process payments. By subscribing, you authorize us to charge your payment method on a recurring basis.
- Failure to pay may result in service suspension. You will receive notice before suspension.
- We reserve the right to change pricing with 30 days' written notice to active subscribers.
5. Account Responsibilities
- You are responsible for maintaining the confidentiality of your credentials and all activity under your account.
- You must notify us immediately of any unauthorized access at support@e-regency.com.
- You must not share accounts, credentials, or access tokens with unauthorized persons.
- Workspace administrators are responsible for managing user access, roles, and data within their tenant.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Upload data that infringes third-party intellectual property rights, contains malware, or violates privacy laws.
- Attempt to reverse-engineer, scrape, or extract underlying models, algorithms, or training data.
- Use AI outputs to make employment decisions, credit determinations, or other high-stakes automated decisions without appropriate human review and legal compliance.
- Misrepresent AI-generated outputs as human expert opinion.
- Use the Service to develop competing products or services.
7. Data Ownership and Licenses
- Your data: You retain all ownership rights to data you upload or connect to RegencyCX ("Customer Data").
- License to us: You grant e-Regency a limited, non-exclusive license to process Customer Data solely to provide the Service.
- No training on your data: We do not use your Customer Data to train our AI models for use by other customers without your explicit written consent.
- Aggregated data: We may use aggregated, de-identified, and anonymized data to improve the Service, provided no individual customer or end-user is identifiable.
8. Intellectual Property
RegencyCX, including all software, algorithms, interfaces, designs, trademarks, and AI models, is the exclusive property of e-Regency Advisory LLC. Nothing in these Terms grants you any intellectual property rights in the Service beyond the limited license to use it as described herein.
9. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party. This obligation survives termination of these Terms for three (3) years, except for trade secrets which remain confidential indefinitely.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
e-Regency Advisory LLC, its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, business, or goodwill, arising out of or related to your use of RegencyCX — even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the total fees paid by you in the twelve (12) months preceding the claim, or (b) USD $100.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
12. Indemnification
You agree to indemnify, defend, and hold harmless e-Regency Advisory LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your Customer Data; (d) your violation of applicable law; or (e) your reliance on AI-generated outputs without appropriate human review.
13. Termination
- Either party may terminate with 30 days' written notice.
- We may suspend or terminate your access immediately for breach of these Terms, non-payment, or illegal activity.
- Upon termination, your access to the Service ends and we will retain your data for 30 days before deletion, unless legally required to retain it longer.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the American Arbitration Association rules. Class actions are waived. You may opt out of arbitration within 30 days of first use by emailing legal@e-regency.com.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
